Please read these Terms & Conditions ("Terms") carefully before purchasing, claiming, or contributing to any space on TheWorldsBillboard (the "Service").
By accessing or using the Service - including purchasing space, submitting content, uploading images, or interacting with the canvas - you agree to be bound by these Terms. If you do not agree, you may not use the Service.
BINDING ARBITRATION NOTICE
IMPORTANT: By accessing or using TheWorldsBillboard, you agree that any dispute will be resolved by binding individual arbitration, not in court or by jury. You waive your right to participate in class-action litigation. See Section 14 (Dispute Resolution) for details.
1. DEFINITIONS
In these Terms:
- "We," "Us," "Our" refers to TheWorldsBillboard and its operators.
- "You," "Your," "User" refers to any individual or entity using the Service.
- "Service" refers to the website, canvas, interfaces, tools, and related systems operated by TheWorldsBillboard.
- "Canvas" refers to the live, dynamic digital display where spaces are rendered.
- "Space" refers to the digital area allocated on the Canvas as a result of a purchase or contribution.
- "Content" refers to any image, text, link, or other material submitted for display on a Space.
- "Key" refers to any identifier or reference used to manage, modify, or contribute to an existing Space.
- "Contribution" refers to any payment or value submitted to claim or expand a Space.
- "Prohibited Content" refers to content that violates Section 7 of these Terms.
- "Malicious Content" refers to content flagged as malicious, harmful, or unsafe by third-party automated moderation services (including AWS Rekognition, Google SafeSearch, or similar services).
2. ELIGIBILITY & LEGAL CAPACITY
By using the Service, you represent and warrant that:
- You are at least 18 years old or the age of majority in your jurisdiction.
- You have the legal capacity to enter into binding agreements.
- You are legally permitted to use the payment methods you provide.
- Your use of the Service complies with all applicable laws and regulations, including export control laws and sanctions regulations.
- You represent that you are not prohibited from using the Service under applicable sanctions laws.
3. NATURE OF THE SERVICE
TheWorldsBillboard is a digital space-claiming and display service. By contributing, you purchase a limited, revocable, non-exclusive license to display approved Content in a Space on the Canvas.
The Service is NOT:
- An investment or financial product.
- A security or profit-sharing arrangement.
- A guarantee of traffic, visibility, engagement, or revenue.
- A promise of permanent placement or perpetual display.
- A guarantee of consistent visibility or absence of UI overlap.
The Canvas is live, dynamic, and subject to change at any time.
4. LIVE LAYOUT, VISIBILITY & UI INTERACTION
You acknowledge and agree that:
- The Canvas layout updates dynamically in real time.
- Your Space may be partially or fully obscured by UI elements (such as drawers, toolbars, or controls) depending on screen size, device type, zoom level, Space size, and Space location.
- Visibility may change without notice as the Canvas evolves.
- No guarantee is made that your Space will always be fully visible.
- UI overlap does not entitle you to a refund or modification.
- When a Space is added to the layout, a border glow effect may briefly appear in colors derived from national flags or regional color palettes. These visual effects are purely aesthetic and do not imply any affiliation, endorsement, or political association with any government, country, or nationality.
5. PURCHASING, CONTRIBUTIONS & FINAL PRICING
5.1 Space Allocation & Pricing
When purchasing or contributing to a Space:
- Space size and allocation are determined by the Service at the time of purchase.
- Percentages shown represent minimum target allocations, not exact guarantees.
- Due to cent-based pricing and rounding, your final percentage may exceed your entered target by a small fraction of a percent.
- The exact pixel ratio occupied by a Space may differ fractionally from the displayed percentage.
5.2 Final Pricing Confirmation
The price displayed on the final Stripe checkout page is the authoritative and binding price. By completing the transaction on Stripe, you agree to that specific amount, regardless of any preliminary estimates shown on the Canvas interface.
You have the right to review the final price before completing payment. If you do not agree to the final price displayed on the Stripe page, you may cancel the transaction and revise your Space size before resubmitting. No payment obligation exists until you complete the Stripe payment process.
5.3 Slippage & Live Data Acknowledgment
You acknowledge that:
- Prices, percentages, and layout data may update milliseconds before or during the checkout process.
- Any value displayed on the Stripe checkout page is the authoritative final value and constitutes your binding agreement.
- Completion of payment on Stripe constitutes acceptance of the final displayed price and terms.
6. CONTENT SUBMISSION & IMAGE UPLOAD RULES
6.1 Content Ownership & Rights
By uploading or submitting Content, you represent and warrant that:
- You own the Content or have all necessary rights, licenses, and permissions to use and display it.
- If Content includes characters, brands, artwork, profiles, or trademarks created by third parties (e.g., video games, companies, franchises, celebrities), you are fully authorized to use them in this manner, or the use constitutes fair use under applicable law.
- The Content does not infringe intellectual property, privacy, publicity, or other rights of any third party.
- The Content complies with all applicable laws and regulations in the United States and your jurisdiction.
6.2 Image Rules
- Maximum file size: 10 MB.
- Aspect ratio adjustment: Your image may be scaled, cropped, or adjusted to fit your purchased Space dimensions.
- Minor formatting: Scaling, cropping, or minor adjustments may occur to match your Space size. The final display will not exactly match your original image dimensions.
- Character & Language Support: TheWorldsBillboard supports all languages and scripts. To protect system integrity, invisible control characters, formatting characters, and non-rendering Unicode characters are not permitted. Length limits apply to all text submissions to ensure proper display and performance.
6.3 License Grant
By submitting Content to the Service, you grant TheWorldsBillboard a worldwide, non-exclusive, royalty-free, perpetual license to:
- Host, display, reproduce, and distribute your Content solely in connection with operating and promoting the Service.
- Use your Content in marketing materials or promotional communications about the Service.
This license does not extend to uses outside of the Service or its direct promotion.
6.4 Your Responsibility for Personal Information
You are solely responsible for any personally identifiable information you voluntarily upload or embed in your Content, including but not limited to names, email addresses, phone numbers, or financial information. We strongly advise against uploading sensitive personal data.
If you believe your personal information has been compromised or misused in connection with the Service, please contact us immediately at [email protected] with a detailed description. We will assist with correcting or removing the information where possible. However, once publicly displayed, we cannot guarantee complete removal from third-party sources or cached versions of the internet.
7. PROHIBITED CONTENT
The following are strictly prohibited:
- Explicit sexual content involving minors or child sexual abuse material (CSAM) (zero tolerance).
- Unlawful, abusive, hateful, harassing, or exploitative material.
- Malware, malicious scripts, ransomware, or harmful code.
- Content that impersonates another person or entity.
- Content that violates applicable laws or regulations in the United States or the jurisdiction where accessed.
- Content designed to defraud, deceive, or harm users.
Consequences of Prohibited Content:
Violating Content may be removed immediately without notice. Intentional attempts to evade moderation systems or filters are the sole responsibility of the uploader and may result in refusal of future submissions or account suspension.
8. AUTOMATED CONTENT MODERATION & LIABILITY DISCLAIMER
8.1 Third-Party Moderation Services
TheWorldsBillboard uses third-party automated content moderation and filtering services, including but not limited to:
- AWS Rekognition: Amazon's machine learning service for image analysis and content flagging.
- Google SafeSearch: Google's automated content safety detection system.
- Other similar third-party moderation tools as we update our systems.
8.2 Accuracy Limitations
You acknowledge that:
- Automated moderation tools may occasionally generate false positives (incorrectly flagging safe content as unsafe) or false negatives (failing to flag prohibited content).
- We are not liable for errors, inaccuracies, or delays in automated moderation decisions.
- We do not warrant that these tools will detect all prohibited content or that their classifications are 100% accurate.
8.3 Limited Liability for Moderation Errors
Our sole liability for an automated moderation error (e.g., false positive) is limited to issuing a refund for the rejected Space. You waive all other claims arising from incorrect content flagging, including claims for lost visibility, opportunity cost, or reputational harm.
If you believe your Content was incorrectly flagged, you may submit a counter-notice as described in Section 9 (Moderation & Review).
9. MODERATION, REVIEW & DISCRETION
9.1 Review Process
All submissions are subject to automated and manual review. Approval is not guaranteed.
9.2 Content Decisions
We reserve the right to reject, remove, modify, or relocate any Content or Space at our sole discretion, for any reason, including but not limited to policy, legal, safety, or operational considerations. Decisions are final unless you submit a formal counter-notice as described below.
9.3 Replacement Submissions
If your Content is rejected, you may submit a replacement. However, replacement approval is not guaranteed. Each submission is reviewed independently.
9.4 Notice of Removal & Contact
If we remove Content or reject a submission, we will make reasonable efforts to contact you using the email address associated with your purchase. We may use this contact information to notify you of the removal, the reason for rejection (if available), and information regarding refunds or resubmission options.
10. REFUND POLICY
10.1 Card Payment Refunds
Refunds for card payments (Visa, Mastercard, American Express, etc.) may be issued only if:
- Automated Rejection: Your Space's Content was flagged as Malicious (false positive) by AWS Rekognition or Google SafeSearch, and we removed it before or shortly after display.
- Technical Failure: A confirmed technical failure on our platform prevented your Space from being delivered or displayed after payment was successfully processed.
10.2 Card Payment Non-Refundable Cases
No refunds will be issued for:
- Dissatisfaction, change of mind, or buyer's remorse.
- Approved and displayed Spaces (once displayed, the service is considered delivered and complete).
- Layout changes after display.
- Visibility fluctuations, UI overlap, or partial obscuration.
- Delays in payment processing or settlement.
- Third-party payment processor delays or holds.
10.3 Cryptocurrency Payment Refunds
Cryptocurrency payments are final and irreversible by nature.
Refunds for cryptocurrency payments may only be issued at our sole discretion if:
- A confirmed system error on our platform prevented any service delivery whatsoever.
No refunds for:
- Rejected submissions (whether due to Content moderation or technical reasons).
- Dissatisfaction or change of mind.
- Layout changes or visibility issues.
- User error or misunderstanding of the service.
Why: Blockchain transactions are irreversible. Once your cryptocurrency is received, we cannot reverse the transaction at the blockchain level. We will only issue refunds (to a new wallet address you provide) in cases of verified platform errors. Rejected submissions are not considered system failures.
10.4 Refund Processing
- Card Refunds: Processed to your original payment card within 5-10 business days (dependent on your bank/card issuer).
- Crypto Refunds: Processed to a wallet address of your choosing within 3-5 business days.
- Refund Notes: If your submission is rejected, we may include a brief note in the refund indicating the reason for rejection.
11. INTELLECTUAL PROPERTY
11.1 Our IP Rights
Except for user-submitted Content, all elements of the Service - including layout, code, design, branding, Canvas concept, user interface, and all underlying technology - are owned by TheWorldsBillboard or our licensors.
You may not copy, modify, reverse-engineer, or create derivative works of any part of the Service except as permitted by applicable law.
11.2 Your IP Rights & Representations
You retain ownership of your Content. By uploading Content, you grant us the license described in Section 6.3 (License Grant), but you do not transfer ownership to us.
12. AVAILABILITY & MODIFICATIONS
We may, at any time and without notice:
- Modify, suspend, or discontinue any part of the Service (or all of it).
- Update layout logic, design, or functionality.
- Perform maintenance or updates, including emergency maintenance.
- Change pricing, features, or availability.
No guarantee of uninterrupted operation is provided. We are not liable for downtime, service interruptions, or loss of access, including but not limited to internet outages, hosting failures, payment processor downtime, or government actions.
13. DISCLAIMERS & LIMITATIONS OF LIABILITY
13.1 "As Is" Disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
We do not warrant or guarantee:
- Continuous visibility or availability of your Space.
- Specific placement, permanence, or positioning.
- Traffic, engagement, click-through rates, or revenue from your Space.
- Compatibility with all devices, browsers, or screen sizes.
- Error-free or uninterrupted operation.
- The accuracy of automated moderation decisions.
13.2 Limitation of Liability
To the fullest extent permitted by law, our total liability for any and all claims arising from your use of the Service, your Content, payment disputes, or any other matter related to these Terms is strictly limited to the amount you paid for the specific Space giving rise to the claim.
This liability cap applies regardless of the legal theory (contract, tort, negligence, strict liability, etc.) and whether or not we have been advised of the possibility of damages.
13.3 No Liability for Indirect Damages
To the fullest extent permitted by law, we are not liable for:
- Lost profits, lost revenue, lost data, or lost business opportunities.
- Indirect, incidental, consequential, special, or punitive damages.
- Reputational harm or damage to goodwill.
- Any damages arising from third-party actions, network issues, or forces beyond our control.
14. DISPUTE RESOLUTION, GOVERNING LAW & ARBITRATION AGREEMENT
14.1 Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to them or your use of the Service will be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
14.2 Binding Individual Arbitration
Except as stated in Section 14.3, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service will be resolved by binding individual arbitration, not in court and not by a jury. You and TheWorldsBillboard each agree that the arbitrator, and not any court or agency, will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this agreement is void or voidable.
14.3 Exceptions to Arbitration
The following claims are NOT subject to arbitration and may be brought in court:
- Intellectual property infringement claims (including patent, copyright, or trademark disputes).
- Claims seeking injunctive or other equitable relief to prevent immediate or irreparable harm.
- Claims that cannot be arbitrated under applicable law.
For intellectual property claims, you agree to submit to the non-exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, USA, and waive any objection to venue or forum on the basis of inconvenience.
14.4 Class Action Waiver
You agree to resolve any disputes with TheWorldsBillboard on an individual basis only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed. If this class action waiver is found unenforceable with respect to a particular claim, then that claim must be brought in court and not in arbitration.
14.5 Arbitration Procedure
- Arbitrator and Rules: Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules, including the AAA Consumer Arbitration Rules for disputes involving individual consumers and the AAA Commercial Arbitration Rules for all other disputes, as modified by this agreement.
- Location and Format: Unless you and TheWorldsBillboard agree otherwise, the arbitration will take place in Wilmington, Delaware, USA, or remotely by video conference at the election of either party.
- Language: All arbitration proceedings will be conducted in English.
- Costs and Fees: Each party will bear its own attorney's fees and costs, and the arbitrator's fees and administrative costs will be allocated in accordance with the applicable AAA rules. If the user is an individual consumer, TheWorldsBillboard will pay any arbitration filing fees and administrative costs required by the AAA Consumer Arbitration Rules in excess of the amount the user would be required to pay to file a claim in a court of competent jurisdiction.
14.6 Notice of Dispute and Informal Resolution
Before initiating arbitration, you must first send TheWorldsBillboard a written Notice of Dispute so that we have an opportunity to resolve the issue informally. The Notice must be sent by email to: [email protected] with the subject line "Notice of Dispute" and must include:
- Your name, email address, and mailing address.
- A detailed description of the dispute and all relevant facts.
- The specific relief you are seeking.
- Your physical or electronic signature.
TheWorldsBillboard will respond within 30 days. You and TheWorldsBillboard will then have 30 days from the date of the response (or 30 days from when a response was due) to attempt to resolve the dispute informally. If the dispute is not resolved within this period, either party may initiate arbitration.
14.7 Confidentiality
The parties agree to keep the arbitration proceedings, all related materials, and the arbitrator's decision confidential, except as necessary to enforce the award, as required by law, or as otherwise agreed in writing.
14.8 Severability
If any portion of this Section 14 is found unenforceable, that portion will be severed, and the remaining provisions will remain in full force and effect, to the maximum extent permitted by law. If the class action waiver in Section 14.4 is found unenforceable as to any claim, then Section 14.2 (Binding Individual Arbitration) will be unenforceable as to that claim, which must then be brought in court rather than in arbitration.
15. COPYRIGHT & DMCA NOTICE
15.1 Copyright Infringement Claims
TheWorldsBillboard respects intellectual property rights. If you believe your copyright has been infringed by Content displayed on our Service, you may submit a DMCA takedown notice.
15.2 DMCA Designated Agent
TheWorldsBillboard has designated the following agent to receive DMCA takedown notices and counter-notices:

15.3 How to Submit a Takedown Notice
If you believe Content infringes your copyright, you may submit a DMCA takedown notice to the above address. Your notice must include:
- A physical or digital signature.
- Identification of the copyrighted work you believe has been infringed.
- Identification of the infringing material and information sufficient to locate it (including the specific Space URL or location on the Canvas).
- Your contact information (name, address, phone, email).
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
You may use the U.S. Copyright Office's sample DMCA notice form available at copyright.gov/512/.
15.4 Our Response to Takedown Notices
Upon receipt of a compliant DMCA takedown notice:
- We will act expeditiously to remove or disable access to the alleged infringing material.
- We will notify the user who uploaded the Content of its removal and the reason.
- The user may submit a counter-notice if they believe the removal was erroneous (see Section 15.5).
- We may issue a refund to the user if the Space was removed before or shortly after display.
15.5 Counter-Notices
If your Content is removed due to a DMCA takedown notice, you may submit a counter-notice if you believe the removal was a mistake or misidentification. Your counter-notice must include:
- Your physical or digital signature.
- Identification of the material that was removed and where it was located.
- A statement, under penalty of perjury, that you have a good faith belief the material was removed by mistake or misidentification.
- Your contact information (name, address, phone, email).
- A statement that you consent to the jurisdiction of the federal district court in Delaware and agree to accept service of process from the copyright claimant or their agent.
Send your counter-notice to the DMCA agent listed above. Upon receipt of a valid counter-notice, we will restore access to the material within 10-14 business days, unless the original claimant notifies us they have filed a court action against you.
15.6 Repeat Infringement Policy
Users who repeatedly infringe copyrights may have their accounts terminated. Repeat infringement is defined as multiple substantive DMCA takedown notices received within a 12-month period, or a pattern of uploading infringing content.
15.7 Safe Harbor Limitation
TheWorldsBillboard qualifies for the DMCA safe harbor under Section 512(c) of Title 17, United States Code, for hosting user-generated content. We are not liable for damages resulting from user-uploaded Content as long as we comply with the notice-and-takedown process described above.
16. DATA PRIVACY & PAYMENT PROCESSING
16.1 Privacy Policy
Your use of the Service is governed by our Privacy Policy, which is available at https://theworldsbillboard.com/privacy. Please review our Privacy Policy to understand our data practices.
16.2 Public Nature of Content
By uploading Content to TheWorldsBillboard, you acknowledge and consent that:
- Your Content (images, URLs, Space names) is intended for public display globally.
- Your Content may be viewed by anyone with internet access.
- You explicitly waive any expectation of privacy regarding the Content you submit.
- We may use your Content in promotional materials, social media, or press releases about the Service.
16.3 Limited Data Collection
We collect the following information:
- Public Content: Space name, URL, and image (as submitted).
- Payment Data: Payment method type (card/crypto) and transaction ID (not full card/wallet details).
- Stripe Payment IDs: Logged securely for refund and dispute processing.
16.4 No Financial Data Storage
We do not collect, store, or have access to:
- Full credit card numbers.
- Banking account details.
- Cryptocurrency private keys or seed phrases.
- Social Security numbers or tax IDs.
All financial data is processed directly by Stripe (for card payments) or blockchain networks (for crypto). We only store transaction IDs for administrative purposes.
16.5 Email Address & Communication
We may collect your email address from payment processing to:
- Send payment confirmation and refund notifications.
- Send notices regarding Content removal or account status.
- Respond to support inquiries and moderation-related questions.
We will not sell or rent your email address. We may use it to send occasional service updates, but you can opt out of non-essential communications.
17. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless TheWorldsBillboard, its owners, operators, employees, and agents from any claims, damages, liabilities, costs, and expenses (including attorney fees) arising from:
- Your Content and its use on the Service.
- Your violation of these Terms.
- Your violation of any third-party rights (copyright, patent, trademark, privacy, publicity, etc.).
- Your use of the Service in violation of applicable law.
- Any breach of your representations or warranties in Section 6 or this Section.
18. TERMINATION
18.1 Termination by You
You may terminate your use of the Service at any time by ceasing to access it. Termination does not entitle you to a refund for any Space already displayed.
18.2 Termination by Us
We may suspend or terminate your access to the Service at any time, for any reason, with or without notice, including:
- Violation of these Terms.
- Uploading Prohibited Content or Malicious Content.
- Payment disputes or failed payments.
- Suspected fraudulent activity.
- Multiple DMCA takedown notices (repeat infringement).
- Legal requirements or government demands.
- Any conduct we deem harmful or problematic.
18.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases.
- Your Content may be removed from the Canvas.
- Existing Spaces will no longer be displayed.
- Termination does not relieve you of payment obligations for prior periods.
18.4 Survival
The following sections survive termination of these Terms: Sections 6 (Content Submission & License), 7 (Prohibited Content), 10 (Refund Policy), 11 (Intellectual Property), 13 (Disclaimers & Limitations of Liability), 14 (Dispute Resolution & Arbitration), 15 (DMCA), 17 (Indemnification), and 19 (Governing Law & Jurisdiction).
19. GOVERNING LAW & JURISDICTION
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
For intellectual property claims not subject to arbitration under Section 14, you agree to submit to the non-exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, USA, and waive any objection to venue or forum non conveniens.
All other disputes are governed exclusively by the arbitration agreement in Section 14.
20. CHANGES TO THESE TERMS
We may update these Terms at any time, with or without notice. Your continued use of the Service following any changes constitutes your acceptance of the new Terms.
We will make reasonable efforts to notify you of material changes via email, but you are responsible for reviewing these Terms periodically.
21. ENTIRE AGREEMENT & SEVERABILITY
21.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and TheWorldsBillboard regarding your use of the Service. All prior negotiations, representations, and agreements are superseded.
21.2 Severability
If any portion of these Terms is found invalid or unenforceable, that portion will be severed and the remainder will remain in full force and effect, to the maximum extent permitted by law.
21.3 Assignment
We may assign, transfer, or delegate these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void.
22. NO WAIVER
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
